His primary source of business is referrals from satisfied clients.

Representative Transactions

 

Assisted with business formation, purchase, and sale for a variety of businesses, including physicians, audiologists, dentists, contractors, educational consultants, placement firms, film directors, television personalities and entertainers, franchisees, retailers, and off shore entities, providing strategic structural, operational and tax advice.

 

Represented scientific instrumentation business in IP matters and disputes and assisted in planning and implementation of redemption of founderís shares.

 

Negotiated forty (40) long term retail leases with a combined value over $80 million with shopping center and mall owners throughout the United States on behalf of expanding national retailer.

 

Pioneered use of “Disclaimer Trusts” to avoid unnecessary funding of the “B” Decedent’s Trust for estates under the $5.5 MM lifetime exemption amount.

 

Negotiated and drafted a variety of internet related agreements for e-commerce clients.

 

Formulated ìdrop and swapî strategy converting LLC membership interests into Tenant-in-Common interests.

 

Prepared shareholder agreement governing rights and duties concerning buy-sell agreement between shareholders.
