Mr. Paa is an Associate at Blanchard, Krasner & French and practices mainly in the corporate and business law practice group. His focus is primarily in the areas of corporate transactions, securities regulation and transactions, secured lending, fund formation and real estate law including contract formation and negotiation; entity structuring and formation including limited liability company, partnership formation, TICs, and private placements.
 
Mr. Paa received undergraduate degrees in Political Science and Social Sciences-Economics, cum laude, from the University of Southern California and received his J.D. from the University of San Diego School of Law. Mr. Paa is admitted to practice in the State of California.

  • Represented secured parties in commercial lending transaction secured by foreign assets and subsequent public foreclosure on the collateral proceedings.
  • Represented fitness club client through fund formation and subsequent asset purchase of distressed equipment and property.
  • Counseled insurance company regarding Department of Insurance and related governmental inquiries.
  • Counseled retirement fund concerning Department of Labor interpretations of fiduciary duties with regard to certain real estate investments.
  • Represented fund from formation through acquisition of pooled investment vehicles relating to life settlement policies.

  • Coordinated numerous 1031 “like kind” exchanges.
  • Negotiated contract between domestic and United Kingdom pharmaceutical company.

  • Represented numerous private equity funds in their formation and equity offerings.
  • Counseled insurance provider as to multiple State regulations concerning various State law compliance issues.
  • Counseled private equity clients regarding compliance with Federal and State Blue Sky Laws concerning private placements and securities offerings.
